Welcome to MingTech.co (“MingTech,” “we,” “our,” or “us”). By accessing our website or engaging us for custom software architecture, SaaS development, or AI integration services (collectively, the “Services”), you (“Client,” “User,” or “you”) agree to be bound by these Terms of Service (“Terms”).

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Description of Services

MingTech provides value-engineered technology solutions designed to modernize legacy systems, accelerate growth, and eradicate operational bottlenecks. Our primary service categories include:

Custom SaaS Development: Multi-tenant cloud platforms and bespoke business software.
Enterprise Desktop & Mobile Apps: Native applications (iOS/Android) and robust desktop solutions for secure, high-performance data handling.
Human-in-the-Loop AI Integrations: Secure, localized Artificial Intelligence deployments designed strictly with human oversight constraints to prevent data contamination and hallucination risks.
Software Architecture & Legacy Modernization: Strategic decoupling and upgrading of outdated databases and monolithic software.

Specific project deliverables, timelines, and costs will be governed by individual Statements of Work (SOW) or Master Services Agreements (MSA) executed between MingTech and the Client, which supersede these terms in the event of a conflict.

2. The “Human-in-the-Loop” Acknowledgment

MingTech engineers AI solutions to enhance, not replace, human decision-making. By utilizing any AI features developed or integrated by MingTech, you explicitly acknowledge and agree that:

Human Verification: You are solely responsible for ensuring your team verifies and approves all AI-generated outputs before utilizing them in critical business decisions, client interactions, or database operations.
Hallucination & Risk: While we restrict AI capabilities to specific silos to maximize accuracy, AI models may still produce inaccurate, incomplete, or inappropriate outputs (“hallucinations”).
No Fiduciary Reliance: AI systems integrated by MingTech do not provide legal, financial, real estate, or professional advice. MingTech assumes no liability for operational damages, legal risks, or data corruption resulting from the unfiltered or unverified use of AI outputs by your organization.

3. Intellectual Property Rights

Custom Deliverables: Upon full payment of all applicable project fees, MingTech grants the Client all agreed-upon ownership rights to the custom, bespoke code (the “Work Product”) explicitly developed for the Client, as detailed in the applicable SOW.
MingTech Proprietary Tools: MingTech retains all rights, title, and interest in our pre-existing frameworks, methodologies, base code, open-source integrations, and underlying AI architecture (“Background Technology”). We grant the Client a perpetual, non-exclusive, royalty-free license to use the Background Technology solely to the extent it is incorporated into the final Work Product.
Client Data: You retain full ownership of all data, text, and materials you provide to MingTech for the execution of the Services.

4. Client Responsibilities & Acceptable Use

To ensure seamless continuous business growth and project success, you agree to:

Provide timely access to necessary legacy systems, technical contacts, and business logic requirements.
Refrain from using our developed SaaS platforms or software to process, store, or transmit malicious code, illegal content, or data that violates third-party intellectual property rights.
Maintain the confidentiality of all API keys, login credentials, and architectural documents provided by MingTech.

5. Payment & Billing

Fees for custom architecture, development, or SaaS subscriptions will be detailed in your specific SOW or subscription agreement. Unless otherwise stated:

All invoices are due within [Number] days of receipt.
MingTech reserves the right to suspend Services, deployment, or active SaaS environments if accounts fall past due.
All fees are non-refundable once engineering phases have commenced, reflecting the custom nature of value-engineered software.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINGTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL MINGTECH’S AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY YOU TO MINGTECH FOR THE SPECIFIC SERVICE OR SOW GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Disclaimer of Warranties

Our Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. MingTech does not warrant that custom tools will be entirely error-free or operate without interruption.

8. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Queens County, New York.

9. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page or by sending a direct communication. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
